SUBSTITUTE TRUSTEE’S
NOTICE OF FORECLOSURE SALE

WHEREAS, Master Organic Soil Solutions Industrial Holding LLC, a Tennessee limited liability company, executed to T. Mike Estes, Trustee, three (3) Deeds of Trust dated respectively August 14, 2015; July 1, 2016; and July 29, 2016; and recorded respectively in Book T290, page 84; in Book T296, page 49; and in Book T296, page 414; in the Johnson County, Tennessee Register of Deeds Office (collectively the “Deeds of Trust”) to secure the payment of indebtedness described therein;

WHEREAS, by instruments dated March 5, 2018, and recorded respectively in Book T306, pages 321, 323, and 325, in the Johnson County, Tennessee Register of Deeds Office, Robert W. Quillin, II, was appointed Substitute Trustee under the Deeds of Trust, with all the rights, powers, privileges and immunities of the original Trustee named in said Deeds of Trust;

WHEREAS, default has been made in the payment of the indebtedness secured by said Deeds of Trust, and Farm Credit Mid-America, FLCA (the “Creditor”), the present holder and owner of the debt secured, has requested the undersigned to advertise and sell at a foreclosure sale the property described below, all of said indebtedness and obligations having matured by default in the payment of a part thereof, at the option of the holder thereof;

NOW, THEREFORE, by virtue of the power and authority vested in me as such Substitute Trustee, under the Deeds of Trust, at the request of the Creditor, the undersigned, Robert W. PROPERTY NO. 1:

Situate and being in the First Civil District of Johnson County, Tennessee and being more particularly bounded and described as follows, to-wit:

BEING all of Tract No.2 containing 5.30 acres as shown on plat of survey entitled “Survey for Jimmy Phipps,” dated February 25, 2015, as prepared by Thomas Todd Grayson, TRLS #1346, Appalachian Land Survey Company, P.O. Box 410, Mountain City, TN 37683, said plat filed for record in the Register’s Office of Johnson County, Tennessee in Plat Cabinet 8 at Slide 84, to which reference is had and made for further and complete description.

CONVEYED HEREWITH is an easement for ingress and egress upon that existing road as traverses from State Route 91 a westerly direction to the subject tract and as shown and noted on said plat, further, both Grantors and Grantee shall have the right of ingress and egress upon that portion of said existing road as shown and noted on said plat as traversing along that designated line as L4, north 87°, 11’ 12” east, 101.50 feet and the curve having a radius of 215.00 feet and length of 105.00 feet, as would concern the Grantors this shall be appurtenant to Tract No. 1, and as would concern Grantee this shall be appurtenant to Tract No. 2.

SUBJECT TO any utility easements as would regard the existing sewer system and/or sewer lines.

SUBJECT TO the maintenance costs and any associated costs of the existing sewer system and/or sewer lines, and subject to and together with easements as may be necessary for ingress and egress to maintain said sewer system and/or sewer lines.

As noted on said plat, the boundary line that follows the bearing of south 87°, 45′, 35” west, upon the northern boundary of the building designated as “One Story Brick and Metal Building” upon Tract No. 2, and the southern boundary of metal building upon Tract No. 1 is in part a party wall as shown on plat and is to be the common line between Tract No. 1 and Tract No. 2 and is to be mutually maintained by the adjoining owners.

EXCEPTING and RESERVING unto Grantors is an easement for the right of ingress and egress upon Tract No. 2, to the metal building located upon Tract No. 1 as necessary to maintain the utilities to said metal building.

SUBJECT to any and all other easements as may be applicable as noted on said plat.

BEING that property which was conveyed to Master Organic Soil Solutions Industrial Holding, LLC by deed from Jim H. Phipps and Debbie Kay Phipps dated the 6th day of March, 2015 recorded in the Register’s Office for Johnson County, Tennessee in Deed Book 197, page 91.

PROPERTY NO. 2:

BEING all of Tract #1 containing 21.35 acres all as shown on plat of survey entitled “Survey for Jimmy Phipps” dated February 25, 2015 as prepared by Thomas Todd Grayson, TRLS No. 1346 of Appalachian Land Survey Company, P.O. Box 410, Mountain City, Tennessee 37683, said plat filed for record in the Office of Johnson County, Tennessee in Plat Cabinet 8 at slide 84, to which reference is had and made for further and complete description.

SUBJECT TO any utility easements as would regard the existing sewer system and/or sewer lines.

SUBJECT to any and all other easements as may be applicable as noted on said plat.

BEING that property which was conveyed to Master Organic Soil Solutions Industrial Holding,
LLC pursuant to deed from Jim H. Phipps and wife, Debbie Kay Phipps dated the 6th day of July, 2016 recorded in the Register’s Office for Johnson County, Tennessee in Deed Book 200, page 572 on July 6, 2016 at 03:32 p.m.

THERE IS SPECIFICALLY LESS AND EXCEPTED from Property No. 2 described above, that portion of said property previously conveyed to the State of Tennessee by FPC, Inc., a California corporation, by Warranty Deed dated March 16, 2001 and recorded in Deed Book 154, page 231 in the Johnson County Register of Deeds Office.

THERE IS ALSO SPECIFICALLY LESS AND EXCEPTED from Property No. 1 and Property No. 2 described above, any portion of said property lying within the current right of way of State Route 91 and Cold Springs Road.

The sale of the property will be on an “as is-where is” basis subject to all defects in the title to the property, if any, and all defects in the condition of the property, if any. The sale will be subject to any encumbrances having lien priority over the Deeds of Trust, including, without limitation, any unpaid ad valorem taxes or other taxes. (c) Maintenance provisions regarding the sewer system and/or sewer lines located with Tracts 1 and 2, as noted on plat of record in Cabinet 8, Slide 84;
(d) Easement for ingress/egress for maintenance of the sprinkler system;
(e) Drainage easement for use of existing storm drain;
(f) Common wall/party wall between Tracts 1 and 2 along the northern boundary of Tract 2;
(g) Easement for ingress/egress upon Tract No. 2 to the metal building located upon Tract 1, as necessary to maintain the utilities to said metal building.
(18) Subject to the rights of the Town of Mountain City, Tennessee, if any, in and to access over Tract 1 from State Route 91 to the Pump Station Site which was conveyed by FPC, Inc. to the Town of Mountain City, Tennessee by deed dated April 30, 1997 and recorded in Deed Book 146, page 700 in the JCRD; and
(19) Matters related to transfer of rights, titles and interests by Johnson County Industrial Commission, Inc. unto Johnson County dated March 18, 1966 and recorded in Misc. Book 3, page 434 in the JCRD.

The undersigned will sell and convey only such title as he holds as Substitute Trustee. The proceeds of the sale will be applied in accordance with the terms of the Deeds of Trust and applicable law. The sale will be subject to all matters, if any, having lien priority over the Deeds of Trust being foreclosed. The undersigned reserves the right to postpone the sale to another time and date certain upon announcement by the Substitute Trustee or his agent at the time and place of sale. The undersigned reserves the right to conduct the sale through his duly appointed agent. If one or more apparently successful bidders fail to comply with the terms and conditions of the sale, the undersigned shall have the right to accept the next highest bid until a bidder whose bid has been accepted shall have complied with the terms and conditions of the sale, all without the necessity of re-publishing notice of the sale.
